1. Readiness assessment

2. Round size and terms
  • Amount and why: what makes sense for the stage, not what the founder wants
  • Instrument: SAFE, convertible note, or priced round, with the specific terms
  • Valuation range from published data for this stage, region, and sector in the last 12 months (for example Carta or PitchBook reports), with links. If you can't find recent data, say so.
  • Runway the money should buy, in months
  • Dilution the founder should expect
3. Investor targeting
